Terms of Service

These Terms govern your use of Kodium, the social media scheduling service at kodium.app and app.kodium.app (the "Service"), operated by Flobyte, Wyoming, United States ("we", "us"). By creating an account or using the Service you agree to these Terms. If you use Kodium on behalf of a business, you confirm you are authorized to accept these Terms for it.

1. The Service

Kodium lets you connect social media accounts, create posts, and schedule or publish them to those accounts through each network's official API. Kodium is a paid subscription service (see section 7). We may change, add or remove features over time; if we remove a feature that is part of your plan, we will tell you in advance.

2. Your account

• You must be at least 18 years old.
• Keep your login details secure. You are responsible for activity in your account and your workspace.
• Only connect social media accounts that you own or are authorized to manage.

3. Your content

You keep all rights to the content you create, upload or publish with Kodium. You give us a limited licence to store, process and transmit that content only as needed to provide the Service, such as uploading a video to the network you selected at the time you scheduled.

You are responsible for your content and for making sure you have the rights to publish it.

4. Acceptable use

You agree not to use Kodium to:

• publish content that is illegal, infringing, deceptive, hateful, harassing or sexually exploitative;
• send spam, run fake engagement, or artificially manipulate metrics;
• impersonate others or post to accounts you are not authorized to manage;
• break the terms, community guidelines or developer policies of any connected network, including the TikTok Terms of Service and Community Guidelines, Meta's Terms and Community Standards, and the YouTube Terms of Service;
• attack, overload, reverse engineer or gain unauthorized access to the Service.

We may suspend or remove accounts that break these rules.

5. Third-party networks

Kodium is not affiliated with or endorsed by TikTok, Meta, Google or any other network. Each network controls its own platform and API and may change, limit or refuse publishing at any time. We are not responsible for a network's actions, outages or decisions about your content or account.

6. Privacy

Our Privacy Policy explains how we handle your data, including data received from connected networks.

7. Subscriptions and billing

• Plan and price. Kodium is offered as one plan, billed either monthly at USD 20 per month or yearly at USD 200 per year. The plan includes up to 5 connected social accounts, unlimited posts (subject to each network's own limits), calendar scheduling, per-network tailoring, a media library, AI caption help and basic analytics. Which networks are available depends on each network's approval, as shown on our website. There is no free trial. A subscription covers one workspace.
• Payment. Subscriptions are paid in advance for each billing period (a month or a year) by card or another method offered at checkout. Payments are processed by our payment provider, Stripe. By subscribing you authorize us, through Stripe, to charge your payment method for each billing period.
• Automatic renewal. Your subscription renews automatically at the end of each billing period, at the then-current price, until you cancel.
• Cancelling. You can cancel at any time from the billing page in the app. Cancelling stops future renewals; you keep access until the end of the period you have already paid for. When your subscription ends, scheduled posts will not be published.
• Refunds. We do not give refunds or credits for partial billing periods or unused features, except as set out here or where required by law. If you are a consumer in the EU or the UK, you can withdraw within 14 days of your first payment: cancel in the app and email us within those 14 days, and we will refund that first payment in full. Nothing in these Terms affects your statutory rights.
• Failed payments. If a payment fails, Stripe may retry it and we may ask you to update your payment method. Until the payment succeeds, we may pause your access to the Service, and scheduled posts may not be published.
• Price changes. We may change our prices. We will tell you by email at least 30 days before a new price applies to your subscription, and it will take effect from your next billing period after that notice. If you do not agree, you can cancel before it takes effect.
• Taxes. Prices are in US dollars and do not include taxes unless stated. Where we are required to collect sales tax, VAT or similar taxes, they are added at checkout.

8. Ending your use

You can cancel your subscription at any time as described in section 7. You can also stop using Kodium and ask us to delete your account at any time by emailing flokitechtips@gmail.com. We may suspend or end access if you break these Terms, or end the Service with reasonable notice. Posts already published to a network stay there unless you remove them.

9. Disclaimers

The Service is provided "as is" and "as available". We work to publish your posts on time but do not guarantee the Service will be uninterrupted or error-free, or that every post will be published, for example when a network rejects it or is unavailable.

10. Limitation of liability

To the extent permitted by law, Flobyte is not liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the subscription fees you paid us for the Service in the 12 months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by law.

11. Changes to these Terms

We may update these Terms. We will change the date above and, for significant changes, notify account holders by email. Continuing to use the Service after a change means you accept the updated Terms.

12. Governing law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of law rules, unless the law of your country of residence requires otherwise.

13. Open source

Kodium is built on Postiz, which is licensed under the GNU Affero General Public License v3.0. Our modified version is licensed under the same terms, and you can download its source code at app.kodium.app/auth/kodium-source.tar.gz.
